Explanation of Responses:

1. Consists of the following dispositions of shares held by the John C. Simpson GRAT 2017 Trust NO. 1.: (i) a bona fide gift of 46,773 shares to the John Charles Simpson Jr. Trust, of which Simeon A. Thibeaux is trustee, (ii) a bona fide gift of 46,773 shares to the Angela Katherine Simpson Trust, of which Simeon A. Thibeaux is trustee, and (iii) a distribution of 201,786 shares to satisfy the trust's annuity obligation to the Reporting Person.

2. Consists of the change in form of beneficial ownership from indirect to direct resulting from the transfer of 201,786 shares to the Reporting Person as reported in footnote (1) above.
